Terms of Service

These Terms govern your use of misevask.ecualandflowers.com (the "Website") and the services provided by MISEVASK ("MISEVASK", "we", "us"), operated from Ecuador by Sebas VA. By using the Website or hiring our services, you agree to these Terms.

1. Proposals come first

Each project or plan is defined in a written proposal or statement of work (a "Proposal") that describes scope, price, timeline and deliverables. If a Proposal and these Terms conflict, the Proposal controls. Prices shown on the Website are starting points, not offers; the final price depends on your requirements and is confirmed in the Proposal.

2. Payments

• Projects: unless the Proposal says otherwise, 50% is due before work starts and 50% at launch.
• Monthly plans: billed monthly in advance. They are month-to-month and you can cancel at any time; cancellation takes effect at the end of the current billing period, and paid periods are not refunded.
• Third-party costs: domains, hosting, software licenses, WhatsApp/Meta messaging fees, AI usage and similar costs are paid by you, either directly or passed through at cost, as stated in the Proposal.
• Late payments may pause work or services until the account is current.

3. Your responsibilities

• Provide content, access and feedback on time. Delays on your side may move the timeline.
• Make sure you have the rights to the text, images, logos and data you give us.
• Comply with the laws and platform rules that apply to how you contact your customers, including obtaining the required consents for marketing messages and following the WhatsApp Business policies.
• Review the content and automated replies before and after launch.

4. Ownership

Once you pay in full, you own the final deliverables created specifically for you, including your website content and design, and you keep ownership of your domain, accounts and data. We keep ownership of our pre-existing tools, code libraries, templates and know-how, and grant you a perpetual, non-exclusive license to use them as part of your deliverables. Open-source components remain under their own licenses.

5. Confidentiality

We keep your non-public business information confidential and use it only to deliver the services. We do not show your project in our portfolio or marketing without your written permission.

6. AI-powered features

Some services use artificial intelligence, such as assistants that reply to messages. AI can make mistakes. We configure rules and human hand-off options, but you are responsible for reviewing how the assistant represents your business and for decisions made with its output.

7. No guaranteed results

We work to improve your online presence and operations, but we do not guarantee specific results such as search rankings, number of leads, sales or revenue, which depend on many factors outside our control.

8. Warranty disclaimer

Except as expressly stated in a Proposal, the Website and services are provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law. Third-party platforms (for example, hosting, Meta or payment providers) may change or fail, and we are not responsible for their availability.

9. Limitation of liability

To the fullest extent permitted by law, MISEVASK is not liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim related to the services is limited to the amount you paid us for those services in the three (3) months before the claim.

10. Termination

Either party may end a project or plan with written notice. You pay for work done up to that date. On termination, we deliver the completed work that has been paid for and help transfer access to your accounts.

11. Governing law

These Terms are governed by the laws of [jurisdiction to be defined], without regard to conflict-of-law rules. We will first try to resolve any dispute in good faith by talking with you.

12. Changes

We may update these Terms. The version posted on this page with its effective date applies from that date; signed Proposals keep the terms agreed in them.
